Compass Faces Securities Class Action Over Alleged Merger Misconduct

A securities class action lawsuit has been filed in the Southern District of New York against Compass, Inc. following allegations that the company misled former Anywhere Real Estate shareholders during their $4.2 billion merger. Investors claim the firm concealed regulatory hurdles and backchannel lobbying efforts regarding the deal.

Compass Faces Securities Class Action Over Alleged Merger Misconduct

The legal action centers on the January 2026 merger exchange, in which approximately 162.1 million Compass shares were issued. Plaintiffs contend that Compass provided inaccurate assurances in its offering materials regarding both its compliance with existing laws and the absence of active governmental investigations. According to the complaint, these statements were materially incomplete because Compass allegedly bypassed standard Department of Justice review channels by employing a politically connected lawyer to influence senior officials.

Regulators have since scrutinized the merger, citing concerns over market concentration in major cities like Chicago, New York, and San Francisco, where the combined company’s share exceeded 30%. The disclosure of a congressional inquiry and a subsequent antitrust investigation by the New York Attorney General triggered significant market volatility, resulting in a combined drop of over 16% in Compass stock price. Investors who acquired shares in the merger exchange have until December 8, 2026, to apply for lead plaintiff status. Levi & Korsinsky LLP represents the claimants in the ongoing litigation.
