The offering includes $1.75 billion in 6.050% notes due in 2032, priced at 99.839% of par. Additionally, the company issued $1 billion tranches for each of its 2034, 2036, and 2056 notes, carrying annual interest rates of 6.600%, 6.950%, and 7.850% respectively. These securities were issued under an automatic shelf registration statement filed with the Securities and Exchange Commission.
Citigroup Global Markets, Morgan Stanley, and Wells Fargo Securities served as joint book-running managers for the transaction. The notes were offered via a prospectus supplement dated August 6, 2026. Charter, which provides connectivity services to nearly 59 million homes and businesses across 41 states, operates under the Spectrum brand.
