Charter Communications Expands Debt Exchange Terms Following Early Tenders

Charter Communications has reached a milestone in its multi-billion dollar debt restructuring, securing over $5 billion in early tenders. As of August 5, investors committed significant portions of the company’s existing notes to exchange offers, prompting the firm to increase its issuance caps for new senior secured debt.

The Stamford-based broadband provider reported that $2.66 billion in Pool 1 Notes and $2.68 billion in Pool 2 Notes were validly tendered by the early deadline. These figures represent roughly 26.5% and 27.8% of the respective outstanding debt pools. In response to the market reception, the company has raised the issuance caps for its upcoming 2038 and 2041 notes from $1.75 billion each to $2 billion. Additionally, the sub-cap for the 4.500% senior debentures due 2042 was adjusted upward to $614.4 million to align with the volume of early participation.

Following the close of the withdrawal period, the exchange offers remain open until August 20, 2026. Eligible holders who participate before the final expiration will receive the total exchange consideration previously outlined in the company’s offering memorandum. Charter plans to initiate settlement for the early-tendered notes on August 12, 2026. The transaction is managed by a syndicate of financial institutions, including Barclays, Citigroup, and Morgan Stanley, with D.F. King & Co. serving as the information and exchange agent.
