This decision marks a significant regulatory milestone for the media conglomerate, pushing the deal closer to completion as it navigates a complex web of global antitrust challenges.

Paramount confirmed the clearance today, noting that the move follows constructive engagement with UK regulators. The company also finalized a separate deed of covenant with the Department for Digital, Culture, Media and Sport to ensure a clear path forward for the integration. With this approval, the merger has now received green lights or non-objection status across 66 jurisdictions worldwide, including the European Commission, Australia, and South Korea.

The CMA’s decision is particularly significant for its rejection of the market definitions currently being challenged in US courts. In its assessment, the UK authority concluded that the combined entity would continue to face robust competition from other major studios and smaller players. The regulator specifically highlighted the competitive pressures exerted by free-to-air channels and various subscription video-on-demand services, effectively countering arguments raised in the antitrust complaint filed by US state attorneys general in California.

Paramount maintains that the union of these two media giants will enhance consumer choice and allow for greater investment in creative projects. By scaling its operations, the company aims to better compete with the tech-focused entities that have increasingly dominated the global entertainment landscape. While the deal has now cleared most regulatory hurdles, it remains subject to the broader scrutiny of the ongoing legal challenges in the United States.
