The session aims to clarify the company's path toward enhancing stockholder value amidst ongoing infrastructure development.

Management plans to provide a detailed update on the Michigan Campus, including the status of a master services agreement with a California-based neocloud provider. This project, which involves an initial 20-megawatt deployment, could generate over $3 billion in contract revenue over two decades if all capacity options are exercised. The campus is designed to eventually support up to 300 megawatts, though further development remains contingent on regulatory approvals, financing, and infrastructure availability.

Beyond the Michigan project, the company is reviewing its broader portfolio, which spans defense, energy, commercial real estate, and finance. Executive Chairman Milton "Todd" Ault III noted that the company is exploring various paths for its holdings, including potential sales or spin-offs of subsidiaries like Sentinum and askROI. The firm reiterated its 2027 financial guidance, projecting revenue between $300 million and $350 million alongside consolidated Adjusted EBITDA of $60 million to $80 million. No definitive decisions on these strategic shifts have been reached, and any future transactions remain subject to board approval and standard due diligence.
