Gentoo Media secures EUR 100 million to refinance December bond debt

Gentoo Media Inc. has finalized a EUR 50 million senior secured loan and obtained full underwriting commitments for a matching EUR 50 million share issue. This dual-track strategy provides the capital necessary to fully redeem the company’s outstanding EUR 91.5 million in bonds reaching maturity on December 18, 2026.

The financing package, negotiated by an independent board committee and supported by a fairness opinion from Deloitte Malta, marks a shift in the company's capital structure. The EUR 50 million loan, provided by major shareholder Fundacja Zbigniewa Juroszka (ZJF), carries an interest rate of EURIBOR 3M plus 7.50% and allows for penalty-free prepayments, granting management greater control over future cash flows.

To facilitate the equity portion of the refinancing, the company has secured backing from major shareholders—including MJ Foundation and Betplay Capital—to underwrite the entire EUR 50 million share issue at a price of SEK 6.1633 per share. An Extraordinary General Meeting is scheduled for November 2, 2026, to authorize the necessary increase in share capital and the creation of a new Class Z common stock. Beyond bond repayment, the firm intends to use a portion of the combined proceeds to reduce existing debt facilities by approximately EUR 8.5 million. CEO Jonas Warrer noted that this move stabilizes the balance sheet and provides the flexibility to eventually consider dividends or share buybacks.
