Innventure Faces Class Action Lawsuit After DarkNX Project Collapse

The litigation centers on claims that Innventure misled the public about an agreement between its subsidiary, Accelsius, and DarkNX. Innventure had previously touted the partnership as a landmark 300MW direct-to-chip cooling deployment in Ontario, Canada, repeatedly assuring investors that the project was moving forward with deliveries scheduled for 2026.

Skepticism first emerged on May 28, 2026, when Morpheus Research published a report characterizing the deal as a "fake" arrangement, citing former employees who claimed they had never heard of DarkNX. The company’s narrative collapsed on August 13, 2026, when executives admitted that the site identified for the project was no longer available, leading to the suspension of all revenue and cash flow guidance. Hagens Berman partner Reed Kathrein stated the firm is now investigating whether Innventure executives intentionally or recklessly deceived shareholders throughout the November 2025 to August 2026 class period.
