The settlement stems from two Delaware class action lawsuits, Dena A. Gilmore v. Mark J. Foley and Seane Jones v. Mark J. Foley, which challenge the circumstances surrounding the $3.65-per-share merger payout. Eligible participants include those who acquired shares before February 29, 2024, or between that date and the February 6, 2025, closing, provided they are excluded from compensation in the separate In re Revance Therapeutics, Inc. Securities Litigation.
To participate in the distribution of the net settlement fund, claimants must submit a Proof of Claim and Release form by March 17, 2027. The Court of Chancery of the State of Delaware will hold the settlement hearing at the Leonard L. Williams Justice Center in Wilmington to evaluate the fairness of the payout and address any legal objections. Individuals wishing to contest the terms must file written documentation with the Register in Chancery by December 3, 2026.
