The offering consisted of 17,250,000 units priced at $10.00 each, with each unit comprising one Class A ordinary share and half of a redeemable warrant. Following the public sale, the company successfully closed a private placement of 5,812,500 warrants at $1.00 apiece, netting an additional $5.8 million. These funds, combined with the IPO proceeds, resulted in $173.3 million placed into a trust account to support future merger or acquisition activities.

Harrison Seideman, President and Chief Operating Officer, described the launch as a strategic move to provide a public market path for growth-stage companies. BTIG, LLC served as the sole book-running manager for the transaction. As the company moves forward, it plans to list its shares and warrants under the symbols BRRK and BRRKW once they begin trading separately on the Nasdaq.
