AI Cloud Platform Nscale Files for New York Stock Exchange IPO

Nscale Limited has officially moved toward a public listing, filing a Form S-1 registration statement with the U.S. Securities and Exchange Commission. The London-based AI cloud provider intends to trade its ordinary shares on the New York Stock Exchange under the ticker symbol NSCL, though pricing details remain pending.

The company has tapped an extensive syndicate of financial institutions to manage the offering, with Goldman Sachs & Co. LLC, J.P. Morgan, and Morgan Stanley leading as the primary bookrunners. A secondary tier of ten firms, including RBC Capital Markets and BofA Securities, will serve as bookrunners, supported by a group of nine co-managers ranging from Citizens Capital Markets to Tigress Financial Partners.

Nscale operates as a vertically integrated, full-stack AI cloud platform. The firm combines software and compute resources with its own data centers and power infrastructure, positioning itself to support large-scale AI training and inference. While the filing marks a significant milestone, the offering remains subject to SEC effectiveness, and the company has cautioned that no sales can occur until the registration statement is finalized.
