Nemak Launches Tender Offer for 2028 Senior Notes

Monterrey-based automotive supplier Nemak has initiated a buyback for its outstanding 2.250% senior notes due in 2028, coupling the offer with a consent solicitation to amend the underlying indenture. The company aims to acquire all remaining notes, offering investors the full principal amount plus accrued interest.

The tender offer, which expires on September 22, 2026, requires participating noteholders to deliver consents to proposed amendments to the indenture. These changes seek to eliminate most restrictive covenants and default provisions while significantly shortening the notice period for any future redemptions from 30 days to three business days. The company intends to cancel all notes successfully repurchased and may issue a redemption notice for any remaining debt following the settlement date, currently slated for September 24, 2026.

Adoption of these amendments depends on receiving support from holders of a majority of the outstanding notes. Participation is bundled, meaning investors cannot tender their notes without simultaneously delivering their consents. Scotia Capital (USA) Inc. is serving as the dealer manager, while D.F. King Ltd handles the administration of the tender process. Nemak, a specialist in lightweight automotive components, confirmed that the offer is subject to customary conditions and may be modified or terminated at the company's discretion.
