The dispute centers on the company’s intent to split into two distinct entities, a move Corteva argues will streamline operations and sharpen its focus on crop protection. Chief Legal Officer Jennifer Johnson dismissed the states’ intervention as a baseless overreach, noting that Corteva has never manufactured or traded the specific PFOA or PFOS products currently at the heart of the environmental concerns.

Beyond the lack of existing judgments or trial schedules related to the claims, the company maintains its balance sheet remains robust enough to manage any future liabilities. By seeking to halt the separation, Corteva argues the states are inappropriately attempting to override the judgment of its directors and management. The company confirmed it intends to defend its restructuring plans aggressively in court, characterizing the move as a vital step to drive growth and deliver value to its shareholders and the agricultural sector.
