The complaint alleges that First Solar executives misled shareholders by overstating the company’s capacity to manage U.S. tariff impacts and failing to disclose how the underutilization of international production facilities in Malaysia and Vietnam would hinder fiscal 2026 performance. These undisclosed pressures allegedly created a false picture of the company’s financial health.
Financial analysts began flagging these concerns in early 2026. On January 7, Jefferies downgraded the stock from Buy to Hold, citing margin compression and de-bookings at international sites. The market reaction was immediate, with shares dropping 10.29% to close at $241.11. Further scrutiny followed on February 24, when First Solar reported earnings that missed expectations and issued weak 2026 guidance, attributing the shortfall to permitting delays and customer headwinds. The stock fell another 13.61% the following day, closing at $210.12.
Investors wishing to serve as lead plaintiff must file a motion with the court by the August 24 deadline. While the lead plaintiff directs the litigation on behalf of the class, shareholders who choose not to take this role remain part of the class action automatically.
