Brazilian police accuse Goldman Sachs executives of fraud in Oncoclinicas case

Investigators claim the executives deliberately obscured ownership details to bypass mandatory share purchase rules, directly harming the interests of minority shareholders.

The police investigation alleges that Goldman Sachs officials executed share transfers while concealing critical ownership data in public filings. By misrepresenting these transactions, the bank reportedly convinced both the Brazilian securities regulator, CVM, and the B3 stock exchange that a mandatory tender offer was unnecessary. This maneuver effectively blocked minority shareholders from exiting their positions under statutory protections, leading to reported financial losses.

Goldman Sachs has denied any wrongdoing, maintaining that its actions remained within regulatory boundaries throughout the restructuring process. The bank issued a statement asserting that the allegations are unfounded and that its representatives acted appropriately. Oncoclinicas, the target of the tender dispute, declined to provide comment on the ongoing police inquiry.
