Elong Power Reschedules 1-for-45 Reverse Stock Split

Elong Power Holding Limited will execute a 1-for-45 reverse share consolidation on August 10, 2026, shifting its strategy to regain compliance with Nasdaq listing requirements. The Beijing-based battery manufacturer aims to boost its closing bid price above the $0.10 threshold mandated by exchange regulations.

The consolidation, which affects both Class A and Class B ordinary shares, follows shareholder approval granted during an extraordinary meeting on January 6, 2026. Under the new structure, the company's total issued and outstanding common shares will drop from approximately 23 million to roughly 0.51 million. While the move reduces the total share count, the par value per share will increase from $0.0128 to $0.576.

Trading under the existing ticker symbol ELPW, the company will adopt a new CUSIP number, G3016G137, when the market opens on August 10. Management confirmed that the split will be applied uniformly to all holders, with no changes to individual ownership percentages, excluding minor adjustments for fractional shares. Shareholders holding positions through brokerage accounts are not required to take any action, as the conversion will occur automatically.
