Throughout 2024 and 2025, management repeatedly cited "strong cost controls" and "network optimization" as the drivers behind declining transportation and warehousing expenses. These claims were bolstered by quarterly SEC filings and SOX certifications, which affirmed the effectiveness of the company’s internal financial controls.

The narrative of operational success collapsed on February 5, 2026, when the firm disclosed that financial statements for the first three quarters of 2025 could no longer be relied upon. The company admitted to an estimated $77 million error regarding understated transportation costs and accounts payable. Shares dropped 18% following the announcement. Further disclosures on May 12, 2026, revealed that these reporting failures extended back through 2023 and 2024, leading to an additional 13% decline in stock value. In total, shareholders saw a cumulative loss of $14.71 per share.

The complaint filed by Levi & Korsinsky LLP alleges that executives knowingly provided false information to the market, asserting that the misstatements were not mere oversights but a failure to accurately record tens of millions in expenses. Investors who acquired shares during the class period may be eligible to recover losses, with the legal team emphasizing that participation in class actions is handled on a contingency basis with no upfront costs for claimants.
