The legal action claims the rental car giant misled shareholders regarding its true liquidity status and deteriorating market conditions.

The complaint centers on allegations that Hertz and certain executives concealed the company’s rapidly shrinking liquidity, which allegedly rendered the firm unable to meet operational obligations without pursuing dilutive, distressed financing. While the company publicly framed used-car market weaknesses as a temporary, single-quarter issue, the lawsuit contends these hurdles were persistent and severely impacted both net depreciation per unit and Adjusted Corporate EBITDA.

Investors seeking to participate in the recovery effort have until September 22, 2026, to apply for lead plaintiff status. According to founding partner Peretz Bronstein, the firm operates on a contingency fee basis, meaning legal costs are only recovered if the litigation results in a financial settlement. The lawsuit aims to hold the company accountable for statements the plaintiffs argue lacked a reasonable basis and misled the market during the specified class period.
