Executives at Commvault Systems offloaded more than $9.4 million in personal stock holdings between February and May 2026, a period marked by a 31% share price collapse and an ongoing federal securities class action lawsuit alleging the company misled investors about its true growth trajectory.

The sell-off involved the company’s most senior leadership, including President and CEO Sanjay Mirchandani, who offloaded shares worth over $7 million, along with CFO Gary Merrill and Chief Accounting Officer Danielle Nicole Abrahamsen. These transactions occurred in the months immediately following a January 27, 2026, earnings report that revealed a sharp deceleration in SaaS ARR growth, which dropped from 71% to 40%.

Legal firm Hagens Berman is currently spearheading an investigation into the company’s disclosures between April 2025 and January 2026. The pending litigation claims that Commvault management touted hyper-growth and successful execution while failing to disclose that revenue was being bolstered by heavy discounting and lower-priced SaaS contracts. As the firm gathers evidence, it has invited investors who sustained significant losses to participate in the class action, with a lead plaintiff deadline set for July 17, 2026.
