The Seattle-based biopharmaceutical company executed the agreement with VStock Transfer, LLC, following an initial announcement in September. Under the structure, the board declared a dividend of one stapled contingent value right (CVR) for each share held as of October 19, 2026. These rights remain attached to the underlying common stock and are not currently tradable as separate securities, preserving the company’s flexibility in managing its clinical development and capital allocation strategies.
While the agreement establishes a clear path for shareholder participation, it remains speculative. Atossa has not yet received a priority review voucher, and none of its current candidates, including (Z)-endoxifen for Duchenne muscular dystrophy or McCune-Albright syndrome, have secured FDA approval. The company maintains full discretion over its regulatory and commercial pathways, noting that it is under no obligation to pursue or monetize a voucher. Should a qualifying voucher be awarded by December 31, 2036, and subsequently sold or utilized, the proceeds would trigger payouts to CVR holders subject to the $50 million limit.
