Clarivate Finalizes $75 Million Debt Buyback

Investors rushed to offload over $665 million in 3.875% senior secured notes, forcing Clarivate to apply an 11.3% proration factor to reach its $75 million cash purchase cap. The tender offer, which concluded on September 23, marks a strategic move to trim debt obligations maturing in 2028.

Clarivate Finalizes $75 Million Debt Buyback

The company’s subsidiary, Clarivate Science Holdings Corporation, confirmed the final results following the expiration of the offer. With total tenders reaching significantly higher than the authorized maximum, the company accepted only a fraction of the requested debt for retirement. Holders whose notes were successfully tendered will receive $975.15 per $1,000 in principal, alongside accrued interest payments scheduled for settlement on September 25.

Citigroup Global Markets managed the transaction, while Global Bondholder Services Corporation handled the processing of the notes. Securities not selected under the proration process will be returned to the respective holders. This debt reduction effort aligns with Clarivate’s broader financial management, though the company noted that these outcomes are subject to the standard risks outlined in its recent SEC filings.
