IM Cannabis Pursues US$1.31 Million Capital Raise Amid Financial Strain

Facing significant financial pressure, medical cannabis firm IM Cannabis Corp. has secured agreements to sell 655,000 common shares at US$2.00 each. The registered direct offering aims to generate US$1.31 million in gross proceeds, with a scheduled closing date of September 24, 2026, pending standard regulatory conditions.

The company intends to funnel the net proceeds into working capital and general corporate operations, which may include exploring new business avenues. This move follows a period of strategic restructuring for the firm, which maintains medical cannabis platforms in Israel and is in the process of divesting its German operations.

Because the deal may involve related parties, the company has invoked specific financial hardship exemptions under Multilateral Instrument 61-101. By utilizing these provisions, the board of directors and a majority of independent directors have bypassed the typical requirements for formal valuations and minority shareholder approval. The board maintains that the offering is a necessary step to stabilize the company's financial position, citing serious liquidity challenges as the primary catalyst for the transaction.
