The lawsuit centers on the company’s January 2026 initial public offering and subsequent trading period through June 2026. Plaintiffs allege that EquipmentShare executives provided misleading financial statements by concealing transactions with entities controlled by the firm’s founders. According to a report by Umibōzu Research released on June 24, 2026, these undisclosed dealings—specifically involving entities named EZ Equipment Zone, Bevel Financial, and Armada Fleet Management—may have funneled at least $77 million to related parties.

Following the publication of these allegations, EquipmentShare’s stock price dropped sharply. Shares fell 6.62% on the day of the report and continued to decline the following day, closing at $19.69 on June 25. The class action complaint asserts that the company’s positive statements regarding its business operations lacked a reasonable basis due to these unrecorded financial ties.
