The litigation targets the period between August 7, 2025, and August 5, 2026. According to the filing by Wolf Haldenstein Adler Freeman & Herz LLP, leadership at the pizza chain created a false impression of stability while failing to account for shifting consumer sentiment, increased competition, and broader macroeconomic pressures. Investors claim the company’s inability to adapt its business model was obscured by overly optimistic outlooks that lacked a reasonable basis.

The reality behind these claims surfaced on August 6, 2026, when Papa John’s reported an 8.3% drop in North American comparable sales. The company subsequently slashed its fiscal 2026 guidance, projecting a 2% to 4% decline in global system-wide sales and suspending its quarterly dividend. During the following earnings call, CEO Todd Allan Penegor acknowledged that the transformation was taking longer than anticipated. The market reacted swiftly to the disclosure, driving the stock price down 17.18% to close at $24.64. Shareholders seeking to participate in the case as lead plaintiffs must file by November 2, 2026.
