Xpect Solutions Acquires Amivero to Bolster Federal Security Tech

Fairfax-based Xpect Solutions has acquired Amivero, a move designed to consolidate specialized expertise in artificial intelligence, fraud detection, and digital identity for national security agencies. The transaction combines Xpect’s existing enterprise IT and cybersecurity infrastructure with Amivero’s mission-focused software development, creating a unified platform with more than 450 employees.

The acquisition marks a strategic expansion for Xpect, a NewSpring Holdings portfolio company, as it seeks to scale its capabilities across four core disciplines: enterprise IT, cybersecurity, digital modernization, and data-driven AI. By absorbing Amivero’s specific experience in Homeland Security operations, the company aims to accelerate the transition of AI tools from experimental prototypes to operational, mission-critical systems.

Integration plans prioritize the preservation of the agile, customer-centric culture that both organizations claim as a competitive advantage. Yusuf Abdul-Salaam, CEO of Xpect Solutions, noted that the combined entity gains the scale necessary to tackle increasingly complex federal challenges while maintaining the accountability of a smaller firm. Amivero founder and CEO Olivia Trivisani Bowker, who will remain in a leadership role, emphasized that the decision was driven by a shared mission to protect critical infrastructure and support the existing workforce.

Financial advisory for the transaction was provided by Piper Sandler & Co. The deal is supported by a comprehensive advisory team including RSM, Aprio, Blank Rome, Baker Tilly, Morrison Foerster, and Alera Group.
