CytoSorbents Sets 1-for-20 Reverse Stock Split to Maintain Nasdaq Listing

CytoSorbents Corporation will execute a one-for-twenty reverse stock split on September 8, 2026, aiming to boost its per-share trading price. The move is a strategic effort to regain compliance with the Nasdaq Stock Market’s $1.00 minimum bid price requirement following shareholder approval granted in August.

The company expects its common stock to begin trading on a split-adjusted basis at the market open on September 8. Under the new structure, every 20 shares currently held will automatically convert into one share. This adjustment will reduce the total number of outstanding shares from approximately 63 million to roughly 3.15 million, though it will not alter the company's total authorized share count.

Management emphasized that the reverse split is intended to stabilize the stock's market position rather than impact the underlying value of individual holdings. Shareholders are not required to take any action; the conversion process will be handled automatically through banks, brokers, and the company’s transfer agent, Equiniti Trust Company, LLC. Existing options and warrants will also undergo a proportional adjustment to their exercise prices to reflect the change in share count.
