Max Stock Secures New Logistics Hub in Ofakim

Conflict of interest concerns arise as Max Stock Limited signs a 10-year lease for a 45,000-square-meter logistics center in Ofakim, a project partially owned by the company’s own CEO, Ori Max. The deal, valued at approximately 1.7 million ILS monthly, aims to bolster the retailer's expanding supply chain infrastructure.

The agreement with G.T. (One) Holdings Ltd. marks a major expansion for the Caesarea-based retailer, which currently relies on two existing facilities in Shomria and Caesarea. Scheduled for delivery in December 2028, the new site will serve dual roles, with roughly one-quarter of the space designated for retail or commercial use, while the remainder functions as a logistics hub. Max Stock expects to invest an additional 20 million ILS to fit out the facility, which remains under construction and awaits necessary municipal permits.

Because Ori Max holds a 50% stake in the lessor, the transaction underwent rigorous review by the company’s Audit Committee and Board of Directors. The deal was officially classified as an extraordinary transaction due to its material impact on the company’s liabilities and assets. Despite the internal connection, board members maintained that the location and commercial terms outperformed other alternatives assessed during their search. The lease includes two five-year extension options, contingent upon a 5% rent increase at the start of each additional period. Should the developer fail to secure the required retail use permits, the company retains the right to terminate that portion of the agreement.
