The legal action focuses on investors who purchased Innventure stock between November 17, 2025, and August 13, 2026. According to the complaint, the company touted a $100 million annualized revenue run rate for its Accelsius subsidiary, despite the unit reporting only $1.5 million in 2025 revenue. A former executive reportedly described these internal projections as fabricated, asserting that management relied on a counterparty for a 300MW data center project that lacked any verified financial backing.

The discrepancy surfaced publicly on August 13, 2026, when Innventure suspended its revenue and cash flow targets and revealed that the DarkNX purchase order—previously presented as a cornerstone of its growth—had been removed from its internal bookings. Following the disclosure, the company’s share price plummeted by $1.98. With the Accelsius stake accounting for an estimated 77% of the firm's valuation, the revelation triggered a severe market reaction and the current litigation effort led by Levi & Korsinsky, LLP.

Investors seeking to be appointed as lead plaintiff must file their applications by October 27, 2026. While the firm notes that individual recovery is not guaranteed, the lawsuit aims to address losses sustained by those who bought shares at prices allegedly inflated by these unsubstantiated growth claims.
