The lawsuit, filed in the U.S. District Court for the Northern District of California, centers on claims that PROCEPT utilized an aggressive, undisclosed discount program to inflate U.S. handpiece sales. According to the complaint, these incentives encouraged customers to place bulk orders far exceeding actual procedure demand, creating a glut of over 10,000 excess units in the field by the end of the class period.

The company’s financial disclosures began to unravel in August 2025, when management reported sales figures that missed consensus estimates and announced the elimination of the Chief Commercial Officer role. Subsequent disclosures throughout late 2025 and early 2026 revealed a pattern of declining demand and significant inventory imbalances. Following these revelations, the company's stock price saw repeated double-digit drops over several two-day trading windows.

Robbins Geller Rudman & Dowd LLP, the firm representing the plaintiffs, alleges that executives knew or recklessly disregarded the discrepancy between reported unit sales and actual clinical usage. Under the Private Securities Litigation Reform Act, shareholders seeking to serve as lead plaintiff must possess a significant financial stake in the outcome of the case. While investors are not required to serve as lead plaintiff to participate in potential future recoveries, the deadline for filing motions remains firm.
