Xiao-I Corporation Plans Reverse ADS Split to Adjust Share Ratio

A ratio shift from one-to-sixty to one-to-four hundred and twenty will effectively consolidate Xiao-I Corporation’s American Depositary Shares by a factor of seven. The Shanghai-based artificial intelligence firm expects this adjustment to take effect on or about September 8, 2026, while maintaining its presence on the Nasdaq under ticker AIXI.

For holders of uncertificated ADSs within The Depository Trust Company, the transition will be automatic. Citibank, N.A., acting as the depositary, will oversee the cancellation of existing shares and the issuance of new ones, requiring no manual intervention from investors. The company confirmed that this structural change does not impact the underlying ordinary shares, as no new ordinary equity will be issued or retired during the process.

Regarding fractional interests, the depositary will aggregate and sell these portions, distributing the net cash proceeds—minus applicable fees and taxes—to the affected shareholders. While management expects the trading price of the ADSs to rise proportionally following the split, the company cautioned that there is no guarantee the market value will strictly reflect a seven-fold increase over the pre-split price.
