The proposal, which combines Curaleaf stock and cash, arrived after a series of earlier, less specific overtures from the suitor. Aurora’s leadership maintains that the offer does not align with the company’s current strategic trajectory, particularly following the recent integration of the Safari Flower Company. While Curaleaf has suggested that Aurora refused to engage in talks, company representatives clarified that their independent director maintained communication with Curaleaf’s CEO as recently as July 24.
Aurora’s Board of Directors is now moving to establish a special committee of independent directors to evaluate the bid. For now, the company has advised shareholders to take no action while management continues to focus on its existing business plan and EU-GMP manufacturing expansion. No formal decision on the transaction has been reached, and the firm remains cautious about the viability of the current terms.
