Falcon Gold Restates Private Placement to Raise C$350,000

Vancouver-based Falcon Gold Corp. has updated the terms of its non-brokered private placement to align with TSX Venture Exchange pricing policies. The mineral exploration company now aims to issue 11,666,667 units at C$0.03 each, targeting total gross proceeds of C$350,000 to fund its ongoing Ontario operations.

Each unit in the offering includes one common share and a transferable warrant, which allows the holder to purchase an additional share at C$0.05 for a three-year period. CEO Karim Rayani, through his firm R7 Investments Ltd., plans to participate in the financing with a C$30,000 investment for 1,000,000 units. The company has designated this participation as a related party transaction but noted it qualifies for exemptions from formal valuation and minority shareholder approval requirements.

Proceeds from the capital raise are earmarked for advancing the company's Northwestern Ontario property portfolio and bolstering general working capital. The issuance of these securities remains subject to regulatory approval from the TSX Venture Exchange and standard closing conditions. All resulting shares and warrants will be restricted by a statutory four-month hold period.
