Controversy erupted on July 14 when Pentair announced a 17 percent drop in second-quarter sales and slashed its full-year guidance, citing a $170 million hit from destocking in its Pool business. The company’s stock price subsequently plummeted by approximately 15 percent on high trading volume.
Adding to investor concerns, Pentair disclosed that its Chief Financial Officer had departed on July 10, just four days before the negative news broke. The lawsuit claims that management failed to adequately communicate the scale of inventory imbalances in the Pool segment, which accounted for nearly half of the company’s reportable income in 2025. Plaintiffs argue that these undisclosed risks misled investors regarding the company's financial health during the class period. Attorney Joseph E. Levi, representing the class, asserts that investors were denied transparency on material risks that directly impacted share value.
