The litigation targets alleged material misstatements in the company’s financial reporting spanning several fiscal periods.

The lawsuit, filed by the Rosen Law Firm, alleges that Hub Group issued false or misleading statements regarding its financial health. According to the complaint, reports from the first quarter of 2023 through the fourth quarter of 2024 contained inaccuracies stemming from the premature and incorrect recognition of specific transactions. These errors reportedly obscured the company’s actual operating revenue, income, and the effectiveness of its internal financial controls.

Further claims suggest that financial statements covering the first through third quarters of 2025 were compromised by the understatement of purchased transportation costs and accounts payable. These discrepancies allegedly masked the true state of the company's operating expenses and growth drivers. Investors who suffered losses after these details reached the market may participate in the action through a contingency fee arrangement, meaning no out-of-pocket costs are required to join. No class has been certified yet, and investors remain free to select their own counsel or choose to remain absent members.
