The litigation centers on allegations that ZoomInfo management obscured significant structural shifts in its business model throughout the class period. While the company touted strong upmarket momentum and net revenue retention, the complaint asserts that these figures masked accelerating churn in the downmarket segment. Smaller clients were reportedly abandoning the company's traditional seat-based subscription model in favor of cheaper, AI-native alternatives and internal go-to-market solutions.

Furthermore, the lawsuit contends that ZoomInfo failed to disclose a material migration toward consumption-based pricing. This transition undermined the predictability of the company's recurring revenue, a core component of its valuation. The discrepancy between management’s public narrative and the underlying business health culminated on May 11, 2026, when the company slashed its full-year guidance. Following the announcement, ZoomInfo shares dropped 33%, losing $1.98 per share. Joseph E. Levi, lead attorney at Levi & Korsinsky, argues that shareholders were denied transparency regarding risks that fundamentally altered the company’s revenue visibility and long-term trajectory.
