Grant Thornton to Acquire CBIZ for $5 Billion

A 17.8% premium is driving a $5 billion acquisition deal as Grant Thornton Advisors moves to absorb CBIZ Inc. The transaction, announced Wednesday, positions the combined entity as the fifth-largest professional services provider in the United States, challenging the long-standing dominance of the Big Four accounting firms.

CBIZ shareholders are set to receive $55 per share following the agreement, a move that triggered a 17.5% surge in the firm's stock during premarket trading. CEO Jim Peko stated that the merger intends to leverage a multinational platform to support businesses across all growth stages, from initial development to global expansion.

Upon completion in the fourth quarter of 2026, the unified organization will operate across more than 20 countries, projecting annual revenues of nearly $7.5 billion. The restructuring plans include spinning off CBIZ’s benefits and insurance services into a separate entity supported by New Mountain Capital. Goldman Sachs served as advisor to CBIZ, while Deutsche Bank acted as the lead financial advisor for Grant Thornton Advisors.
