The class action suit alleges that ADMA Biologics misled shareholders by failing to disclose related-party transactions and employing channel stuffing to artificially boost reported revenue. According to the complaint, these practices created a distorted picture of the company’s internal controls and overall business health. The core of the case hinges on assertions that the company’s financial statements lacked a reasonable basis, ultimately causing significant shareholder losses once the information surfaced.

Market volatility followed a series of disclosures beginning in March 2026. A report by Culper Research detailing allegations of channel stuffing and undisclosed relationships with distributor Genesis BioPharma triggered a 31.6% decline in share price over two trading days. Investor confidence further deteriorated on March 26, 2026, when the company announced a review of the assertions, coinciding with a rating downgrade from Cantor Fitzgerald that pushed the stock down an additional 13.9%.

Reed Kathrein, a partner at Hagens Berman, stated the firm is actively investigating the extent to which ADMA concealed the reality of its distribution channels. Investors with substantial losses are encouraged to submit their information to the firm. Additionally, the firm is seeking whistleblowers with non-public information, noting that individuals providing original evidence may be eligible for financial rewards under SEC programs.
