The legal scrutiny centers on statements made between November 25, 2025, and May 4, 2026. During this period, Embecta leadership repeatedly described its pen needle portfolio as resilient and resolute. Plaintiffs allege these assurances masked internal knowledge of competitive erosion and retail volume softness. The discrepancy between these claims and the company's fiscal reality emerged on May 5, 2026, when Embecta reported a sharp revenue decline.

In response to the earnings miss, the company cut its full-year 2026 adjusted EPS guidance by 43% and reduced its quarterly dividend from $0.15 to $0.01 per share. Reed Kathrein, the Hagens Berman partner heading the probe, stated that the firm is investigating whether management recklessly disregarded negative market indicators while maintaining positive financial guidance. Investors who held stock during the class period face an August 17, 2026, deadline to file as lead plaintiffs.
