Investors Target BitGo in Class Action Over Alleged Misleading Statements

BitGo Holdings faces a securities class action lawsuit alleging that management’s repeated assurances of business resilience masked significant financial risks. Investors who purchased shares between January 22, 2025, and May 13, 2026, are now seeking recovery after the company’s stock price plummeted following disclosures of a $14.8 million net loss.

Investors Target BitGo in Class Action Over Alleged Misleading Statements

The lawsuit, filed by SueWallSt, contends that BitGo’s public communications created a fundamental contradiction for shareholders. While the company’s formal offering documents acknowledged that revenue was tied to a percentage-based fee model sensitive to digital asset price volatility, management simultaneously touted the firm’s fundamentals as strong and resilient. Plaintiffs argue these affirmative reassurances effectively neutralized cautionary risk disclosures, leaving investors with a distorted perception of the company's stability.

Evidence of this disconnect surfaced when BitGo reported a $14.8 million net loss for 2025, significantly missing earlier profit projections of $3.2 to $3.5 million. Additionally, the company’s digital asset sales margins contracted by more than half, and staking revenue saw a 16% year-over-year decline. Shares of BitGo, which debuted at $18.00, fell to $7.67 following these revelations, representing a loss of over 57% of their IPO value. The court has set August 7, 2026, as the deadline for investors to apply for lead plaintiff status.
