Each unit sold includes one Class A ordinary share and one-third of a warrant, with whole warrants exercisable at $11.50 per share. The company has moved the entire $325 million in proceeds into a trust, awaiting a future merger, asset acquisition, or reorganization. While the firm remains open to various sectors, leadership intends to prioritize technology businesses benefiting from artificial intelligence trends, leveraging the specific expertise of its founders and board members.

CEO David York leads the company alongside President and CFO Clark N. Callander and COO Steven C. Fletcher. The board is rounded out by Jeff Clarke, Raymond Bingham, David Golden, and Renée E. LaBran. Citigroup served as the sole book-running manager for the offering, which includes an underwriter option to purchase an additional 4.875 million units to manage potential over-allotments.
