Delaware Court Sets $13 Million Settlement in FGNA Stockholder Suit

Holders of FG New America Acquisition Corp. Class A common stock who did not redeem their shares by July 14, 2021, are eligible to participate in a $13 million settlement. The agreement resolves a class action lawsuit pending in the Delaware Court of Chancery concerning the company's past corporate actions.

Delaware Court Sets $13 Million Settlement in FGNA Stockholder Suit

The settlement, which covers those who held stock as of the 5:00 p.m. ET redemption deadline, requires court approval before funds can be distributed. Vice Chancellor Paul A. Fioravanti is scheduled to preside over a settlement hearing on September 10, 2026, at 1:30 p.m. in Wilmington. The court will evaluate the fairness of the $13 million fund, the proposed plan of allocation, and requests for attorney fees.

Because the action is a non-opt-out class proceeding, all eligible members will be bound by the final judgment. To receive a portion of the net settlement fund, participants must submit a valid claim form online or by mail no later than October 12, 2026. Any objections to the terms of the agreement or the distribution plan must be filed with the Register in Chancery by August 26, 2026.
