Vår Energi to Acquire BlueNord in Major North Sea Consolidation

Vår Energi is set to become Europe’s largest independent oil and gas producer following a definitive agreement to acquire BlueNord. The merger, valued at approximately NOK 1,964 million in cash alongside a massive share issuance, marks a strategic expansion for the Norwegian firm into the Danish Continental Shelf.

The boards of both companies have unanimously approved the deal, which aims to integrate BlueNord’s high-quality assets—including the Tyra, Halfdan, Dan, and Gorm hub areas—into Vår Energi’s existing portfolio. By absorbing BlueNord, Vår Energi expects to reach a long-term production target of roughly 450,000 barrels of oil equivalent per day. The transaction is structured as a merger, with BlueNord shareholders receiving 9.7153 shares in the combined entity and NOK 76.83 in cash for every share held.

Management from both sides emphasized the operational synergies, noting that the Danish Continental Shelf shares geological and fiscal similarities with the Norwegian Continental Shelf. Vår Energi anticipates between USD 250 million and 300 million in post-tax savings through 2032, largely driven by optimized financing and reduced overhead. While the deal remains subject to regulatory approvals and a shareholder vote at an extraordinary general meeting, both companies expect the transaction to close by the end of 2026. Following completion, Vår Energi will maintain its investment-grade credit profile, with Eni remaining the long-term strategic majority shareholder.
